Areas of Practice
Ms. Greenspon focuses her practice on financings, mergers and acquisitions, corporate governance matters, and general corporate counseling. She represents enterprises in all stages of growth from start-ups to publicly traded companies and across a wide range of industry sectors. Her clients include software developers, Internet and technology companies, including green technology companies, commercial and resort real estate developers, manufacturers, private boarding schools, publishers, and distributors and retailers of home decorating products, power transmission components, and electronic components.

Ms. Greenspon helps growth companies secure funding, from angel investments to pre-IPO mezzanine financing, as well as more traditional bank financing. Numerous companies have relied on Ms. Greenspon’s experience as they continued to grow their businesses after securing early-stage funding. She also represents funds in distressed debt situations and in raising venture capital.

Ms. Greenspon works extensively on international matters ranging from joint venture agreements, manufacturing agreements, and acquisitions throughout Europe, Asia, and the Caribbean. She has represented clients in the purchase or sale of companies or assets ranging in value from $4 million to $85 million. Her experience includes sales to foreign and domestic strategic and financial purchasers, as well as transactions involving privately held and publicly traded businesses.

Ms. Greenspon serves as principal outside counsel to many of her clients handling senior management agreements, corporate form documentation (including confidentiality and non competition agreements, employment agreements, independent contractor agreements) and forges third-party and joint venture agreements. Ms. Greenspon also counsels these clients on corporate governance matters as well as the formation and documentation of stock option vehicles, stock repurchase agreements and redemption arrangements.

In addition to her corporate and securities practice, Ms. Greenspon represents commercial and property developers with commercial and resort development projects in the United States and the Caribbean. She advises clients on projects ranging from mixed-use real estate to very high-end private resorts.

Representative Experience
• Represented a skin and hair care consumer products company in the $43 million sale of the company to a consortium of private equity firms.
• Represented a publicly traded U.S. company in connection with its multimillion-dollar manufacturing agreements in Asia, Australia and Eastern Europe
• Represented an international real estate development firm in the restructuring of more than $30 million in debt financing.
• Represented a retail Internet entity in raising $23 million in private equity.
• Represented an international private boarding school in its formation and achieving tax exempt status.
• Represented multiple resort developers in the sale and purchase of real estate in the Caribbean with both private parties and the local government.

Professional Background
Prior to joining K&L Gates, Ms. Greenspon was a partner in the Chicago office of an international law firm headquartered in New York City.
