Jon Freedman

Jon Freedman is an attorney who works with emerging companies and entrepreneurs in all stages of their business life, and advises funds investing in these types of companies. He offers the expertise of a Wall Street firm, the efficiency and focus of a dedicated in-house general counsel, and the practical perspective of a former business executive in successful start-up operations.

From 1994 to 1999, and again from 2001 to 2004, Mr. Freedman was in private practice as a corporate transactions attorney focused on venture capital, private equity, business formation, mergers and acquisitions, initial public offerings, mezzanine financing, debt financing, securities law and other strategic transactions. He practiced at Shereff Friedman Hoffman & Goodman, LLP from 1994 to 1997, at Dorsey & Whitney, LLP from 1997 to 1999, and at Swidler Berlin Shereff Friedman, LLP (the successor firm to Shereff Friedman) from 2001 to 2004.

From 1999 to 2001, and again from 2004 to 2005, Mr. Freedman was General Counsel and a Vice President of Bluefly, Inc. (Nasdaq Capital Market: BFLY), a leading internet retailer selling designer clothing at discounted prices. He was responsible for all aspects of the company’s business and legal affairs, including strategic alliances, corporate governance, marketing and vendor agreements, technology licensing, intellectual property matters, litigation, federal and state law compliance, SEC matters, employee compensation, human resources and risk management. In addition, Mr. Freedman headed Bluefly’s corporate development efforts and acted as the point person for all of its corporate financing transactions. He also played a key role in the company’s operations, managing its call center and spearheading strategic projects such as the evaluation of technology platforms and third party fulfillment partners, the re-design of its credit card and fraud screening processes, and the expansion of international sales.

Mr. Freedman’s mission is to provide the same expertise as a large, national law firm, with greater financial flexibility and a more hands-on, business-oriented approach. He works with clients to resolve complex legal issues in a way that takes into account the practical realities unique to each business. In addition to traditional legal engagements, Mr. Freedman enters into extended arrangements in which he acts as an outsourced general counsel.

Mr. Freedman has a J.D. from the New York University School of Law and a B.S. from Carnegie Mellon University.
